Condition, warranty or intermediate term? Charter contract’s clauses in judgments of the English courts

The article pertains to familiarize readers with kinds of contractual clauses triggering different consequences in instance of their breach. The author begins by sketching historical evolution of the clauses in question. Specifically, she presents arguments for creation of intermediate terms in the milestone judgment Hongkong Fir Shipping Ltd v Kisen Kaisha Ltd from 1962. Subsequently she analyses recent contradicting judgments in which English courts decided upon the character of charter contract’s clauses. The author evaluates arguments in favour of different classification of the terms, most importantly the need of certainty as to possible remedies for the contractual parties, on the other hand the necessity of adequate protection as to the consequences of the breach.References
